INTERIM COVENANTS UP TO COMPLETION. 5.1 The Issuer undertakes to procure that, save as required or contemplated by this Agreement, prior to Completion the Business shall be operated as a going concern on its normal and usual basis as carried on prior to the date of this Agreement, and the Group shall not do or omit to do (or allow to be done or to be omitted to be done) any act or thing which is a breach of the Warranties or would lead to a breach thereof in any respect; and, in particular, no member of the Group shall, prior to Completion (without the prior written consent of the Subscriber (which shall not be unreasonably withheld or delayed) or except as provided in this Agreement undertake (or agree to undertake) any of the following matters:
