Common use of Interim Financial Statements Clause in Contracts

Interim Financial Statements. Until the Closing Date, Seller shall deliver to Buyer within twenty (20) days after the end of each month a copy of the internally prepared income statement and balance sheet for such month prepared in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and chief financial officer of Seller as to compliance with Article 3.12.

Interim Financial Statements. Until the Closing Date, Seller shall deliver to Buyer within twenty (20) days after the end of each month month, a copy of the internally prepared income statement unaudited monthly consolidated financial statements for the Company and balance sheet the Company Subsidiaries for such month month, such financial statements to be prepared in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and chief past practice of the Company in preparing such financial officer of Seller as to compliance with Article 3.12statements.Further Assurances.

Interim Financial Statements. Until the Closing Date, Seller shall deliver to Buyer within twenty fifteen (2015) days after the end of each month a copy of the internally prepared income statement and its respective balance sheet for such month prepared in a manner and containing information consistent with Seller’s the current practices of Seller and certified by the CEO/President and chief respective principal financial officer officers of Seller as to compliance with Article 3.12Section 3.4.

Until the Closing Date, Seller shall deliver to Buyer within twenty fifteen (2015) days after the end of each month a copy of the internally prepared income statement Seller's balance sheet, profit and balance sheet loss statement, working capital report and aged list of accounts receivable for such month prepared in a manner and containing information consistent with Seller’s 's current practices and certified by the CEO/President and chief financial officer of Seller as to compliance with Article 3.12practices.

Until the Closing Date, Seller shall deliver to Buyer within twenty twenty-six (2026) days after the end of each month a copy of the internally prepared income statement and balance sheet and statements of income, cash flow and stockholders’ equity for such month prepared in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and chief financial officer of Seller as to compliance with Article 3.12practices.

Interim Financial Statements. Until the Closing Date, Seller shall deliver to Buyer within twenty (20) days after the end of each month a copy of the internally prepared income statement and balance sheet for such month prepared in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and chief financial officer of Seller as to compliance with Article 3.123.11.

Until the Closing Date, Seller shall deliver to Buyer within twenty (20) days after the end of each month a copy of the internally prepared unaudited balance sheets and the related unaudited statement of income statement and balance sheet (including related notes thereto, if any) for such month prepared in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and Seller’s chief financial officer as presenting fairly, in all material respects, the financial position and results of operations of Seller as of and for the month then ended (subject to compliance year-end adjustments consistent with Article 3.12past practice).

Until the Closing Date, Seller shall deliver to Buyer within twenty twenty-one (2021) days after the end of each month a copy of the internally prepared balance sheet and income statement and balance sheet for such month prepared in a manner and containing information consistent with Seller’s 's current practices and certified by the CEO/President and Seller's chief financial officer of Seller as to compliance with Article 3.12Section 3.4.

Interim Financial Statements. Until the Closing Date, Seller shall deliver to Buyer within twenty fifteen (2015) days after the end of each month a copy of the internally financial statements prepared income statement and balance sheet by or for Seller for such month prepared in a manner and containing information consistent with Seller’s 's current practices and and, in the case of the February 2004 financial statements, certified by the CEO/President Jeffrey McGonegal and chief financial officer of Seller David Boney, as to compliance with Article 3.12Section 3.0.

Until the Closing Date, Seller shall deliver to Buyer within twenty (20) ten days after the end of each month a copy of the internally prepared balance sheet and income statement and balance sheet for such month prepared by management of Seller in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and Seller’s chief financial officer of Seller as to compliance with Article 3.12Section 3.4.

Interim Financial Statements. Until the Closing Date, Seller shall deliver to Buyer within twenty (20) 15 days after the end of each month a copy of the internally prepared income statement and balance sheet monthly financial statements for such month (including financial statements for Seller and for each of the Bottling and Packaging Business and the Distillery Business) prepared in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and Seller’s chief financial officer of Seller as to compliance with Article 3.12Section 5.4.

Until the Closing Date, Seller shall deliver to Buyer within twenty twenty-five (2025) days after the end of each month a copy of the internally prepared income statement and balance sheet financial statements for such month prepared in a manner and containing information consistent with Seller’s 's current practices and certified by the CEO/President and chief financial officer of Seller Seller's president as to compliance with Article 3.12Section 3.3. Any such financial statement will be subject to adjustments pursuant to adjustments made by the auditors in preparation of the 2003 and 2002 audited financial statements.

Until the Closing Date, Seller shall deliver to Buyer within twenty thirty (2030) days after the end of each month a copy of the internally prepared unaudited balance sheet and income statement and balance sheet for such month prepared in a manner and containing information consistent with Seller’s 's current practices and certified by the CEO/President and chief for preparing such financial officer of Seller as to compliance with Article 3.12statements.

Interim Financial Statements. Until the Closing Date, Seller shall deliver to Buyer Buyer, within twenty fifteen (2015) days after following the end of each month calendar month, a copy of the internally prepared income monthly financial statement and balance sheet for such month the Business, prepared in a manner the same format and containing information consistent with Seller’s current practices and certified by the CEO/President and chief financial officer of Seller as to compliance with Article 3.12Interim Financial Statements.

Until the Closing Date, Seller shall deliver to Buyer within twenty (20) 20 days after the end of each month a copy of the internally prepared detailed income statement, balance sheet, and, within twenty days after the end of each quarter, a cash flow statement and balance sheet for such month or quarter, as applicable, and year-to-date, prepared in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and Seller’s chief financial officer of Seller as to compliance with Article 3.12Section 3.3.

Until the Closing Date, Seller shall deliver to Buyer within twenty (20) days after the end of each month a copy of the internally prepared unaudited balance sheets and the related unaudited statement of income statement and balance sheet (including related notes thereto, if any) for such month prepared in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and Seller’s chief financial officer as presenting fairly, in all material respects, the financial position and results of operation of Seller as to compliance with Article 3.12of and for the month then ended.

Until the Closing Date, Seller shall deliver to Buyer within twenty ten (2010) days after the end of each month a copy of the internally prepared income statement and balance sheet Seller’s unaudited financial statements for such month prepared in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and such Seller’s chief financial officer of Seller as to compliance with Article 3.12Section 3.4.

Until the Closing Date, Seller The Sellers shall deliver to the Buyer within twenty (20) 25 days after the end of each month a copy of the internally company-prepared income statement and balance sheet of each Seller for such month and the related company prepared in a manner statements of income and containing information consistent cash flow for such month, together with Seller’s current practices and certified by the CEO/President and chief notes to such financial officer of Seller as to compliance with Article 3.12statements.

Until the Closing Date, Seller the Sellers shall deliver to Buyer the Purchaser, within twenty (20) 15 days after the end of each month month, a copy of the internally prepared income statement and unaudited balance sheet reflecting the operations of the Business as of the end of the preceding month, and the related unaudited statements of income and cash flows for such month preceding month, prepared in a manner and containing information consistent with Sellerthe Business’s current practices and certified by the CEO/President and chief financial officer of Seller as to compliance with Article 3.12practices.

Until the Closing Date, Seller shall deliver to Buyer within twenty (20) 10 days after the end of each month a copy of the internally prepared income statement and balance sheet and related statements of income and cash flows for such month prepared in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and Seller’s chief financial officer of Seller as to compliance with Article 3.12Section 3.5.

Until the Closing DateClosing, Seller shall deliver to Buyer within twenty five (205) days after Buyer’s request, the end of each month a copy of the internally prepared income statement and balance sheet Seller’s financial statements for such month prepared in a manner and containing information consistent with Seller’s current practices and certified by the CEO/President and chief financial officer of Seller as to compliance with Article 3.12practices.
