Common use of Internal Approvals Clause in Contracts

Internal Approvals. The parties agree that the terms of this Agreement shall not be binding on the Seller until LB I Group receives all necessary and proper approvals of LB I Group and its affiliates. Prior to 6:00 p.m. New York City time on October 29, 1997, LB I Group shall give notice to Related whether such approval has been obtained; failure to give such notice shall be considered a waiver of this provision and this Agreement shall be binding on Seller as though this Section 8.7 was not included herein. If such notice is timely given and indicates that approval has not been obtained, this Agreement shall terminate in its entirety and Section 7.2 shall govern. * * * * *
