Internal Referral. 19.3.1 If a dispute arises in relation to any aspect of this PPP Agreement, the Parties shall attempt in good faith to come to an agreement in relation to the disputed matter, in accordance with the following informal process: 19.3.1.1 all disputes shall first be referred to a meeting of the liaison officers or other designated executives from each Party who are actively involved in the Project, and have sufficient authority to be able (if necessary with consultation back to their respective organisations) to resolve it; and 19.3.1.2 if the Parties have been unable to resolve the dispute within 30 days of referral to the persons specified in Clause 19.3.1.1, either Party may refer the dispute for resolution by the Accounting Officer or Accounting Authority of SANParks and the Chief Executive Officer or equivalent officer of the Private Party. 19.3.2 In attempting to resolve the dispute in accordance with the provisions of this Clause 19.3.2 the Parties shall (and shall procure that their employees and representatives shall) use reasonable endeavours to resolve such dispute without delay by negotiations or any other informal procedure which the relevant representatives may adopt. Those attempts shall be conducted in good faith in an effort to resolve the dispute without necessity for formal proceedings. 19.3.3 Any dispute which has not been resolved by the representatives contemplated in Clause 19.3.1.2 within 30 days of the dispute being referred to them (or any longer period agreed between the Parties) shall be treated as a dispute in respect of which informal resolution has failed.
