Common use of Intra-Group Lenders and Debtors: Power of Attorney Clause in Contracts

Intra-Group Lenders and Debtors: Power of Attorney. Each Intra-Group Lender and Debtor by way of security for its obligations under this Agreement irrevocably appoints the Security Agent to be its attorney to do anything which that Intra-Group Lender or Debtor has authorised the Security Agent or any other Party to do under this Agreement or is itself required to do under this Agreement but has failed to do (and the Security Agent may delegate that power on such terms as it sees fit).

Each Intra-Group Lender and Debtor by way of security for its obligations under this Agreement irrevocably appoints the Security Agent Trustee to be its attorney to do anything which that Intra-Group Lender or Debtor has authorised the Security Agent Trustee or any other Party to do under this Agreement or is itself required to do under this Agreement but has failed to do (and the Security Agent Trustee may delegate that power on such terms as it sees fit).
