Common use of Invalid Default Termination Clause in Contracts

Invalid Default Termination. If, after termination pursuant to this Article 22.1, it is finally determined pursuant to Article 23 or written agreement of MSV that Contractor was not in default under Article 22.1.1, or that the default was excusable under Articles 16 or 17, the rights and obligations of the Parties shall be the same as if the termination had occurred under Article 21.

Invalid Default Termination. If, after termination pursuant to this Article 22.1, it is finally determined pursuant to Article 23 24 or written agreement of MSV Purchaser that Contractor was not in default under Article 22.1.1, or that the default was excusable under Articles 16 or 17the Contract, the rights and obligations of the Parties shall be the same as if the termination had occurred under Article 2120.

Invalid Default Termination. If, after termination pursuant to this Article 22.123.1, it is finally determined pursuant to Article 23 25 or written agreement of MSV Purchaser that Contractor was not in default under Article 22.1.123.1.1, or that the default was excusable under Articles 16 17 or 1718, the rights and obligations of the Parties shall be the same as if the termination had occurred under Article 21; except that Contractor shall also be entitled to recover its additional actual costs reasonably incurred due to such invalid default termination plus a markup of ten percent (10%) of such costs.

If, after termination pursuant to this Article 22.123.2, it is finally determined pursuant to Article 23 25 or written agreement of MSV Contractor that Contractor Purchaser was not in default under Article 22.1.123.2.1, or that the default was excusable under Articles 16 or 17, the rights and obligations of the Parties Contractor shall be liable to Purchaser for direct damages resulting from such termination of this Contract, subject to the same as if limitation of liability set forth in Article 27 and in no event exceeding the termination had occurred amount that would be payable to Purchaser under Article 2123.1 [***].
