Common use of Invalidity and Severability Clause in Contracts

Invalidity and Severability. 22.1 If any part of this Agreement is held by any court or other competent authority to be void, invalid or unenforceable in whole or part: 22.1.1 this shall not affect or impair the legality, validity or enforceability of any other provision of this Agreement; and 22.1.2 the Parties shall in good faith amend this Agreement to reflect as nearly as possible the spirit and intention behind that illegal, invalid or unenforceable provision, to the extent that such spirit and intention is consistent with the laws of England and Wales, and so that the amended clause complies with the laws of England and Wales.
