Common use of Invalidity and Unenforceability Clause in Contracts

Invalidity and Unenforceability. If a provision of this Agreement is wholly or partially invalid or unenforceable in a jurisdiction: (a) it is to be read down or severed in that jurisdiction to the extent of the invalidity or unenforceability; and (b) that fact does not affect the validity or enforceability of that provision in another jurisdiction or the remaining provisions. It is hereby declared to be the intention of the Parties that this Agreement would have been executed without reference to any portion which may, for any reason, hereafter be declared or held invalid.
