Inventions and Improvements. The Executive acknowledges that all ideas, discoveries, inventions and improvements which are made, conceived or reduced to practice by the Executive and every item of knowledge relating to the Company’s business interests (including potential business interests) gained by the Executive during the Employment Term are the sole and absolute property of the Company, and the Executive shall promptly disclose and hereby irrevocably assigns all his right, title and interest in and to all such ideas, discoveries, inventions, improvements and knowledge to the Company for its sole use and benefit, without additional compensation, and shall communicate to the Company, without cost or delay, and without publishing the same, all available information relating thereto. The Executive also hereby waives all claims to moral rights in any such ideas, discoveries, inventions, improvements and knowledge. The provisions of this Section 7 shall apply whether such ideas, discoveries, inventions or knowledge are conceived, made, gained or reduced to practice by the Executive alone or with others, whether during or after usual working hours, whether on or off the job, whether applicable to matters directly or indirectly related to the Company’s business interests (including potential business interests), and whether or not within the specific realm of the Executive’s duties. Any of the Executive’s ideas, discoveries, inventions and improvements relating to the Company’s business interests or potential business interests and conceived, made or reduced to practice during the Severance Period shall for the purpose of this Agreement, be deemed to have been conceived, made or reduced to practice before the end of the Employment Term. The Executive shall, upon request of the Company, and without further compensation by the Company but at the expense of the Company, at any time during or after his employment with the Company, sign all instruments and documents requested by the Company and otherwise cooperate with the Company and take any actions which are or may be necessary to protect the Company’s right to such ideas, discoveries, inventions, improvements and knowledge, including applying for, obtaining and enforcing patents, copyrights and trademark registrations thereon in any and all countries. To the extent this section shall be construed in accordance with the laws of any state which precludes a requirement to assign certain classes of inventions made by an employee, this Section shall be interpreted not to apply to any invention which a court rules and/or the Company agrees falls within such classes.

Inventions and Improvements. Inventions and Improvements. (a) The Executive acknowledges Employee hereby assigns to the Company (or, at the discretion of the Company, any of its subsidiaries that it designates) an exclusive right to all ideasinventions, discoveries, inventions domain names, ideas and improvements which are made by him, whether alone or jointly with others, relevant to the subject matter of his employment, prior to the date of his employment hereunder. (b) In carrying out research, developmental and productive activities for the Company and its subsidiaries, the Employee shall accurately record the precise nature thereof and the data derived therefrom, and all such data and records shall be and remain the sole and exclusive property of the Company and its subsidiaries. (c) The Employee hereby recognizes as the exclusive property of the Company (and, as appropriate, its subsidiaries) and hereby assigns to the Company (and, as appropriate, its subsidiaries) without further consideration: (i) all inventions, discoveries, domain names, ideas, copyright rights, maskworks, improvements and any other intellectual property made, conceived or reduced to practice discovered, by the Executive Employee during the term of this Agreement, whether by himself or jointly with others (whether or not employees of the Company or its subsidiaries) and every item of knowledge whether or not made at the Company's premises or during working hours, relating or pertaining in any way to the Company’s kind of business interests (including potential business interests) gained or any tests, research or development carried on by the Executive during the Employment Term are the sole and absolute property Company, or any subsidiary or affiliate of the Company, and the Executive shall promptly disclose and hereby irrevocably assigns ; and (ii) all of his right, title and interest in and to all each application for Letters Patent of the United States or of any foreign country that he either alone or jointly with others (whether or not employees of the Company or its subsidiaries), may hereafter file with respect to any such ideasinvention, discovery, domain names, idea or improvement and each patent that may be issued thereon. (d) The Employee agrees to execute any assignments to the Company or its nominee of his rights, title and interest in any such inventions, discoveries, inventionsideas, improvements and knowledge to the Company for its sole use and benefitdomain names, without additional compensationcopyright rights, maskworks, improvements, and shall communicate to the Company, without cost or delayany other intellectual property, and without publishing the same, all available information relating thereto. The Executive also hereby waives all claims to moral rights in any such ideas, discoveries, inventions, improvements and knowledge. The provisions of this Section 7 shall apply whether such ideas, discoveries, inventions or knowledge are conceived, made, gained or reduced to practice by the Executive alone or with others, whether during or after usual working hours, whether on or off the job, whether applicable to matters directly or indirectly related to the Company’s business interests (including potential business interests), and whether or not within the specific realm of the Executive’s duties. Any of the Executive’s ideas, discoveries, inventions and improvements relating to the Company’s business interests or potential business interests and conceived, made or reduced to practice during the Severance Period shall for the purpose of this Agreement, be deemed to have been conceived, made or reduced to practice before the end of the Employment Term. The Executive shall, upon request of the Company, and without further compensation by the Company but at the expense of the Company, at any time during or after his employment with the Company, sign all other instruments and documents requisite or desirable in applying for and obtaining patents, trademarks or copyrights, at the cost of the Company with respect thereto in the United States and all foreign countries as and when requested by the Company. The Employee further agrees, whether in the employ of the Company (or its subsidiaries) or not, to cooperate to the extent and in the manner requested by the Company in the prosecution or defense of any patent claims or any litigation or other proceedings involving any inventions, discoveries or improvements covered by this Agreement, but all expenses thereof shall be paid by the Company or one of its subsidiaries. Any invention, discovery, domain names, idea or improvement within the scope of this Section 6 shall be disclosed promptly in writing to the Board of Directors of the Company. (e) In the event the Company is unable to secure the Employee's signature on any document or documents needed to apply for or prosecute any patent, copyright or other right or protection relating to an invention, discovery, idea, domain name, or improvement, whether because of his physical or mental incapacity or for any other reason whatsoever, the Employee hereby irrevocably designates and otherwise cooperate with appoints the Company and take its duly authorized officers and agents as his agent and attorney-in-fact, to act for and in his behalf and stead to execute and file any actions which are such application or may be necessary applications and to protect do all other lawfully permitted acts to further the Company’s right to such ideas, discoveries, inventions, improvements prosecution and knowledge, including applying for, obtaining and enforcing issuance of patents, copyrights and trademark registrations copyrights, or similar protections thereon in any and all countries. Any of the Executive’s ideas, discoveries, inventions and improvements relating to the Company’s business interests or potential business interests and conceived, made or reduced to practice during the Severance Period shall for the purpose of this Agreement, be deemed to have been conceived, made or reduced to practice before the end of the Employment Term. The Executive shall, upon request of the Company, and without further compensation by the Company but at the expense of the Companypersons, at any time during the Term, whether or after his employment with not during working hours and whether or not at the request or upon the suggestion of the Company, sign all instruments and documents requested which (i) are related or relate to or are useful in connection with any business previously, now or hereafter carried on or contemplated by the Company, including developments or expansions of its present fields of operations, (ii) resulted or result from any work performed by Employee for the Company or any of its clients; or (iii) resulted or result from the use of the premises or personal property (whether tangible or intangible) owned, leased, or contracted for by the Company (collectively, the “Intellectual Property”). If subject to copyright, the Intellectual Property shall be considered a “work made for hire” within the meaning of the Copyright Act of 1976, as amended (the “Act”). Employee agrees that he shall make full disclosure to the Company of all such writings, inventions, improvements, processes, procedures and techniques, and shall do everything necessary or desirable to vest the absolute title thereto in the Company. Employee shall write and prepare all specifications and procedures regarding such inventions, improvements, processes, procedures and techniques and otherwise cooperate with aid and assist the Company so that the Company can prepare and present applications for copyright or letters patent therefor and can secure such copyright or wherever possible, continuations, continuations-in-part, divisionals, reissues, renewals, and extensions thereof, and can obtain the record title to such copyright or patents so that the Company shall be the sole and absolute owner thereof in all countries in which it may desire to have copyright or patent protection. Employee’s obligations to assist Company shall survive termination of this Agreement and continue until the expiration of the last available protection obtained on the Intellectual Property developed during the Employment’s term of employment. Employee shall not be entitled to any additional or special compensation or reimbursement regarding any and all such writings, inventions, improvements, processes, procedures and techniques. If the Company is unable, after reasonable effort, to secure Employee’s signature on any copyright or other analogous protection relating to the Intellectual Property, whether because of Employee’s physical or mental incapacity or for any other reason whatsoever, Employee hereby irrevocably designates and appoints the Company and take its duly authorized officers and agents as Employee’s agent and attorney-in-fact, to act for and on his behalf to execute and file any actions which are such application or may be necessary applications and to protect do all other lawfully permitted acts to further the Company’s right to such ideasprosecution and issuance of letters patent, discoveriescopyright, inventions, improvements and knowledge, including applying for, obtaining and enforcing patents, copyrights and trademark registrations thereon in any and all countries.
