Common use of Investment Authorization Clause in Contracts

Investment Authorization. The undersigned corporation has all requisite authority to acquire the Shares hereby subscribed for and to enter into the Subscription Agreement and further, the undersigned officer or partner of the subscribing entity has been duly authorized by all requisite action on the part of such entity to execute this Signature Page on its behalf.

Investment Authorization. The undersigned corporation partnership has all requisite authority to acquire the Shares hereby subscribed for and to enter into the Subscription Agreement and further, the undersigned officer or partner of the subscribing entity has been duly authorized by all requisite action on the part of such entity to execute this Signature Page on its behalf.

Investment Authorization. The undersigned corporation trust has all requisite authority to acquire the Shares hereby subscribed for and to enter into the Subscription Agreement and further, the undersigned officer or partner trustee of the subscribing entity has been duly authorized by all requisite action on the part of such entity to execute this Signature Page on its behalf.

Investment Authorization. The undersigned corporation has all requisite authority to acquire the Shares hereby subscribed for for, and to enter into the Subscription Agreement, the Stock Purchase Agreement, the Registration Rights Agreement, the Securityholders' Agreement and the Securities Restriction Agreement; and further, the undersigned officer or partner of the subscribing entity has been duly authorized by all requisite action on the part of such entity to execute this Omnibus Signature Page and on its behalf.
