Investment Banking Opinion. ATCLLC shall have received an opinion from a nationally recognized investment banking firm of its choice that ATCLLC is able to finance, at a reasonable cost, its start-up costs, working capital and operating expenses and the cost of any new facilities that are planned.
Investment Banking Opinion. SWB shall have received the written opinion from Baird on or before the date of this Agreement and updated in writing as of a date within five (5) days of mailing the Prospectus/Proxy Statement, to the effect that the Exchange Ratio is fair, from a financial point of view, to such shareholders;
Investment Banking Opinion. Alliance Bancorp shall have received the written opinion from FBR on or before the date of this Agreement and updated in writing as of a date within five (5) days of mailing the Prospectus/Proxy Statement to the effect that the Merger is fair to Alliance Bancorp.
Investment Banking Opinion. JADE shall have received an oral opinion from Berwind on or before the date of this Agreement, and updated in writing as of a date within ten (10) days of mailing the Registration Statement, to the effect that the consideration to be received by shareholders of JADE pursuant to this Agreement is fair, from a financial point of view, to such shareholders; and
Investment Banking Opinion. PSB shall have received an oral opinion from Tucker Anthony on or xxxxxx xxx xxxe of this Agreement, and shall receive a written opinion to the effect that the Merger is fair, from a financial point of view, to the shareholders of PSB;
Investment Banking Opinion. First Home shall have received a written opinion, dated within five (5) days of mailing the Prospectus/Proxy Statement, from RP Financial, updating its prior written opinion, to the effect that the Applicable Exchange Ratio is fair, from a financial point of view, to such shareholders.
Investment Banking Opinion. Bankers shall have received an oral opinion from Alex. Xxxxx on or before the date of this Agreement and updated in writing as of a date within five (5) days of mailing the Prospectus/Proxy Statement, to the effect that the consideration to be received by shareholders of Bankers pursuant to this Agreement is fair, from a financial point of view, to such shareholders.
Investment Banking Opinion. Sovereign shall have received an oral opinion from Xxxx, Xxxx & Co., Inc. on or before the date of this Agreement and updated in writing as of a date within five (5) days of mailing the Prospectus/Proxy Statement to the effect that the Merger is fair to Sovereign.
Investment Banking Opinion. The Company shall have received an opinion from the Investment Banker that the sale of the Preferred Stock and Underlying Shares is fair from a financial point of view.
Investment Banking Opinion. The Company shall have received an opinion from the Investment Banker that the Conversion Price (as defined in the Preferred Stock Designation) is fair from a financial point of view.
