The Investor: (a) has such knowledge in financial and business affairs as to be capable of evaluating and assessing the merits and risks of its Investment (including the potential loss of its entire Investment); (b) is aware of the characteristics of the Securities and understands the risks relating to the Investment; and (c) is able to bear the economic risk of loss of its Investment.
