Investments in Other Entities. Partnership funds shall not be invested in the securities of another person except in the following instances:
Investments in Other Entities. Seller does not have any direct or indirect equity interest, or Debt convertible into any equity interest, in any entity, corporation, or otherwise, or any right, warrant, or option to acquire any such interest.

Make or hold, or permit the Borrower or any of its subsidiaries to make or hold, any investment in any other entity in excess of $5,000,000, without the Bank's prior written consent. This restriction shall not prevent the Borrower from purchasing, acquiring a travel centers or billboard business(es) allowed under the terms of this Agreement.

Except as set forth in the Disclosure Schedule, (a) neither the Company nor any Subsidiary has made any loan or advance to any person or entity which is outstanding on the date hereof, nor is it committed or obligated to make any such loan or advance, and (b) neither the Company nor any Subsidiary has ever owned or controlled and does not currently own or control any capital stock or other ownership interest, directly or indirectly, in any corporation, association, partnership, trust, joint venture or other entity, other than Polmerix.

Investments in Other Entities. Except as disclosed in Schedule 2.8 attached hereto, (a) neither the Corporation nor any Subsidiary has made any loan or advance to any person or entity which is outstanding on the date hereof, nor is it committed or obligated to make any such loan or advance, and (b) neither the Corporation nor any Subsidiary has owned or controlled and does not currently own or control, directly or indirectly, any subsidiaries and has never owned or controlled and does not currently own or control any capital stock or other ownership interest, directly or indirectly, in any corporation, association, partnership, trust, joint venture or other entity.

The Disclosure Schedule lists all direct and indirect ownership interests and equity participations of any Asset Seller in any corporation, limited liability company, partnership, joint venture, trust or other business association (other than in a Subsidiary, or money market or other similar short-term investments) relating to the Technical Services Business.
