Asset Seller definition

Asset Seller shall have the meaning set forth in the preamble of this Agreement.

Asset Seller means any Person which duly transfers a Series Asset to a Series, by any method permitted by applicable law (including, but not limited to, a purchase agreement, option agreement or consignment agreement).

Asset Seller means the Person from whom Borrower acquires Assets.

• Any books, records (including Tax records) and other materials primarily relating to Excluded Assets or Retained Liabilities, or that any Asset Seller is required by Law to retain (provided that the Asset Sellers shall provide Buyers with copies of the same), all Tax Returns of any Asset Seller for time periods prior to Closing, and related work papers.

• If Purchaser so designates a Subject Real Property as an Excluded Asset, Seller shall cause such Subject Real Property to be transferred to Seller or an Affiliate of Seller (other than an Acquired Company) prior to the Closing (or, if after the Closing, Purchaser shall cause such Subject Real Property to be transferred to Seller or an Affiliate of Seller), and such Subject Real Property shall be deemed to be an Excluded Asset hereunder.

Asset Seller means Türkiye Finans in its capacity as seller pursuant to the Initial Asset Portfolio Sale and Purchase Agreement;

Asset Seller means any Affiliate of Seller, other than any Group Company, which conducts the Business in any way, including by virtue of being the employer of a Business Employee, or being the owner of any Acquired Asset or party to any Acquired Contract.
