Common use of Investor Deliveries Clause in Contracts

Investor Deliveries. At the Closing, Investor shall deliver to Parent the following: (a) certificate(s) evidencing the Rollover Shares (if any), endorsed in blank (or together with duly executed stock powers in form and substance reasonably satisfactory to Parent); (b) any documents reasonably requested by Parent with respect to the amendment of the Rollover Options; (c) a bank or cashier’s check made out to Parent for the amount of the Cash Contribution (if any); and (d) a certificate of Investor confirming the fulfillment of the conditions set forth in Sections 1.4(b) and (c).

Section 2. Representations and Warranties of Parent. Parent hereby represents and warrants to Investor as follows:
