Investor Deliveries. At the Closing, Investor shall deliver to the Company the following: (a) certificate(s) evidencing the Rollover Shares, endorsed in blank (or together with duly executed stock powers in form and substance reasonably satisfactory to the Company); and (b) a certificate of Investor confirming the fulfillment of the conditions set forth in Sections 1.4(d) and (e).
