Together with the tendered subscription agreement and subscription funds, the Purchaser is tendering a completed “Accredited Investor Questionnaire” in the form attached hereto as Annex I. The Purchaser understands that a subscription is not complete until the completed Accredited Investor Questionnaire, signed by Purchaser, is provided to the Company and until the Placement Agent has made a suitability determination that this Private Placement is suitable for Purchaser.
