Common use of IPDC Preparatory Phase Clause in Contracts

IPDC Preparatory Phase. including identification of potential long-list of Lenders Scope The formal IPDC process has commenced, or will commence after delivery of the IPDC Commencement Notice, with a preparatory phase in which Developer identifies and engages likely participants including banks and capital market underwriters. Developer shall conduct an initial wide approach to the market (perhaps up to 20 potential Lenders (including PABs underwriters and banks) and produce a long list of financiers of Initial Project Debt to take part in the next phase (perhaps up to 15 Lenders). A wide approach is critical to carrying out the purpose of this IPDC Protocol as set forth above. The output of this phase will be an understanding of the universe of interested Xxxxxxx and their likely appetite for the financing transaction.
