IPI Stock. The IPI Stock to be issued to Seller will be validly issued, fully paid and nonassessable. The IPI Stock will be restricted stock and will not be registered under the Securities Act of 1933, as amended. All documents filed by IPI with the Securities and Exchange Act comply in all material respects with the provisions of applicable law.

IPI Stock. IPI Stock is common stock with no preemptive rights to purchase additional shares of any class or series of IPI stock. All of the issued and outstanding shares of IPI stock are duly authorized validly issued, fully paid and non-assessable. Each share of IPI common stock entitles the holder thereof to one vote, in person or by proxy, upon all matters submitted for a vote by the shareholders of IPI. Holders of shares of IPI common stock do not have cumulative voting rights for the election of directors. Thus, the owners of a majority of the voting power outstanding may elect all of the directors, if they choose to do so, and the owners of the balance of such shares would not be able to elect any directors.
