Common use of Irreparable Harm Clause in Contracts

Irreparable Harm. Each Receiving Party acknowledges and agrees that any breach of its confidentiality obligations in this Agreement may result in irreparable harm for which the Disclosing Party might not have an adequate remedy at law. Without prejudice to any rights and remedies otherwise available to the Parties, each Party shall be entitled to seek equitable relief by way of specific performance, injunction or otherwise if the other Party breaches or threatens to breach any provisions of this Agreement.

Therefore, receiving party agrees that in the event of any breach failure to comply with the provisions of its confidentiality obligations in this Agreement may result in irreparable harm for which the Disclosing Party might not have an adequate remedy at law. Without prejudice to any rights and remedies otherwise available to the PartiesSection, each Party disclosing party shall be entitled to seek a preliminary injunction, and any other equitable relief by way of specific performance, injunction or otherwise if in order to protect and recover the other Party breaches or threatens to breach any provisions of this Agreement.Confidential Information.
