ISM Code and ISPS Code. The Owner will arrange for and procure the punctual approval and certification of the management organization on shore and on board the Vessel and ensure that the Vessel is operated in accordance with the ISM Code and ISPS Code in force from time to time. The Owner shall have a valid and current International Ship Security Certificate issued in respect of the Vessel pursuant to the ISPS Code and any other certification that may be required.

ISM Code and ISPS Code. Owner undertakes to ensure at the Delivery Date and throughout the Term that the Manager complies fully with the International Safety Management (ISM) Code for the Safe Operation of Ships and Pollution Prevention effective July 1, 1998 (the “ISM Code”) and the International Ship & Port Facility Security Code effective 1st July 2004 (the “ISPS Code”) (including any subsequent amendments of the ISM Code and the ISPS Code, the “Codes”), and is in possession of a valid safety management certificate and a valid international ship security certificate in respect of the Vessel as required by the ISPS Code. In addition, Owner shall comply with the notification requirements under Section 3.1 of the ISM Code and will ensure the that the Vessel’s security system and its associated security equipment complies with the applicable requirements of Part A of the ISPS Code and Chapter XI — 2 of the Safety of Life at Sea Convention (SOLAS) and that the approved ship security plan is in place. If requested by Charterer, Owner shall provide Charterer with satisfactory evidence of compliance with the requirements of this section 4.7.

ISM Code and ISPS Code. The Company shall procure that each Vessel Owner shall: (a) procure that the Collateral Vessel owned by it and the company responsible for that Collateral Vessel's compliance with the ISM Code and ISPS Code comply in all material respects with the ISM Code and ISPS Code respectively; and (b) maintain an ISSC for that Collateral Vessel; and (c) notify the Notes Administrative Agent immediately in writing of any actual or threatened withdrawal, suspension, cancellation or modification of the ISSC.
ISM Code and ISPS Code. The Borrower undertakes to comply, and procure compliance by the Manager and any other operator of the Vessel, with: 16.11.1 all provisions of the ISM Code including, without limitation, obtaining and maintaining in force at all times a valid Document of Compliance in relation to the company responsible for the Vessel’s compliance with the ISM Code under paragraph 1.1.2 of the ISM Code and a valid Safety Management Certificate in respect of the Vessel as required by the ISM Code; and 16.11.2 all provisions of the ISPS Code including, without limitation, obtaining and maintaining in force a valid International Ship Security Certificate in respect of the Vessel as required by the ISPS Code, and ensuring that the Vessel’s security system and its associated security equipment comply with the applicable requirements of Part A of the ISPS Code and of Chapter XI-2 of the Safety of Life at Sea Convention (SOLAS), and that an approved ship security plan is in place, and to procure that certified copies of all such certificates and other documents are provided promptly on demand to the Security Trustee.
ISM Code and ISPS Code. After Delivery, (i) as applicable, procure that each Operator will comply with and ensure that the Vessel which it operates will comply with the requirements of the ISM Code and the ISPS Code, including (but not limited to) the maintenance and renewal of valid certificates pursuant thereto; and (ii) as applicable will procure that the Operators will immediately inform the Agent if there is any threatened or actual withdrawal of its DOC or the ISSC or the SMC in respect of any Vessel; and (iii) will procure that the Operators will promptly inform the Agent upon the issuance to the Borrower or Operators of a DOC and the issuance to the Vessel of an SMC and an ISSC;
ISM Code and ISPS Code any Operator has obtained and maintains (a) a DOC, and will, on or prior to the Drawdown Date, obtain an SMC for the Ships and (b) any certification required in order for any Borrower, any Operator and the Ships to comply with the ISPS Code and each of such documents are, or will when issued be, in full force and effect and nothing has happened which might cause any of such documents to be withdrawn.

ISM Code and ISPS Code. The Borrower shall: (a) at all times comply, and be responsible for compliance by itself and by the Vessel, with the ISM Code, and the ISPS Code; (b) at all times ensure that: (i) the Vessel has a valid Safety Management Certificate; (ii) the Vessel is subject to a safety management system which complies with the ISM Code and the ISPS Code; (iii) it, or the Manager from time to time, has a valid Document of Compliance for the Vessel, which it holds on board the Vessel; and (iv) the Vessel has a valid International Ship Security Certificate, and shall deliver to the Agent, on or before the Drawdown Date, a copy of a valid Safety Management Certificate, a valid Document of Compliance and a valid International Ship Security Certificate in respect of the Vessel, in each case duly certified by an officer of the Borrower or of the Manager from time to time; (c) promptly notify the Agent of any actual or, upon becoming aware of the same, threatened withdrawal of an applicable Safety Management Certificate or Document of Compliance; and (d) promptly upon becoming aware of the same notify the Agent of the occurrence of any accident or major non-conformity requiring action under the ISM Code or the ISPS Code.
ISM Code and ISPS Code. After the Shell Commencement Date, (i) as applicable, procure that each Operator will comply with and ensure that the Vessel which it operates will comply with the requirements of the ISM Code and the ISPS Code, including (but not limited to) the maintenance and renewal of valid certificates pursuant thereto; and (ii) as applicable will procure that the Operators will immediately inform the Administrative Agent if there is any threatened or actual withdrawal of its DOC or the ISSC or the SMC in respect of any Vessel; and (iii) will procure that the Operators will promptly inform the Administrative Agent upon the issuance to the Borrower or Operators of a DOC and the issuance to the Vessel of an SMC and an ISSC.
