ISPS Code. Each Borrower shall comply with the ISPS Code and in particular, without limitation, shall:
(a) procure that the Ship owned by it and the company responsible for that Ship’s compliance with the ISPS Code comply with the ISPS Code; and
(b) maintain for that Ship an ISSC; and
(c) notify the Agent immediately in writing of any actual or threatened withdrawal, suspension, cancellation or modification of the ISSC.
ISPS Code on the Drawdown Date of the Delivery Advance for a Ship, the relevant Borrower shall have a valid and current ISSC in respect of that Ship and such Ship shall be in compliance with the ISPS Code;
ISPS Code. The rights and obligations of either Party are subject to any licence, approval and authorisation which may be required by any competent authority.
ISPS Code. The Borrower shall, and shall procure that the Manager shall, at all times after the Delivery Date of a Vessel:
(a) comply and be responsible for compliance by itself and by such Vessel with the ISPS Code;
(b) ensure that:
(i) the Vessel has a valid International Ship Security Certificate;
(ii) the Vessel’s security system and its associated security equipment comply with section 19.1 of Part A of the ISPS Code;
(iii) the Vessel’s security system and its associated security equipment comply in all respects with the applicable requirements of Chapter XI-2 of SOLAS and Part A of the ISPS Code; and
(iv) an approved ship security plan is in place.
ISPS Code. 37.1 The Manager shall comply with the requirements of the International Code for the Security of Ships and of Port Facilities and the relevant amendments to Chapter XI of SOLAS (ISPS Code) relating to the Vessel and “the Company” (as defined by the ISPS Code). If trading to or from the United States or passing through United States waters, in addition to ensure that the Vessel has been issued with a COFR, the Manager shall also comply with the requirements of the US Maritime Transportation Security Act 2002 (the “MTSA”) relating to the Vessel and the “Owner” (as defined by the MTSA).
37.2 Where sub-chartering, the Owner shall ensure that the contact details of all sub-charterers are provided to the Managers and the Master. Furthermore, the Owners shall ensure that all charter parties entered into during the period of this Agreement contain the following provision: “The Charterers shall provide the Owners with their full style contact details and, where sub-chartering is permitted under the terms of the charter party, shall ensure that the contact details of all sub-charterers are likewise provided to the Owners”.
37.3 Notwithstanding anything else contained in this Agreement all costs or expenses whatsoever arising out of or related to security regulations or measures required by the port facility or any relevant authority in accordance with the ISPS Code and/or the MTSA including, but not limited to, security guards, launch services, vessel escorts, security fees, waiting costs and associated expenses, taxes and inspections, shall be out of budget. All measures required by the Manager to comply with the Ship Security Plan shall be for the Manager’s account excluding costs associated with calls at non ISPS compliant port, facilities, installations, vessels or port, facilities, installations, vessels included in any relevant authority warning list (i.e. USCG Port Security Advisory) as applicable in which case Owners shall provide Managers with such additional funds as may be required.
ISPS Code. The Borrower shall comply with the ISPS Code and in particular, without limitation, shall:
ISPS Code. The Corporate Guarantor shall comply with the ISPS Code and in particular, without limitation, shall:
(a) procure that the Ship and the company responsible for such Ship’s compliance with the ISPS Code, comply with the ISPS Code; and
(b) maintain for the Ship an ISSC; and
(c) notify the Lender immediately in writing of any actual or threatened withdrawal, suspension, cancellation or modification of the ISSC.
ISPS Code. The Owner shall, and shall procure that the Manager shall, at all times after the Delivery Date comply and be responsible for compliance by itself and by the Vessel with the mandatory requirements of the ISPS Code, and ensure that the Vessel has a valid International Ship Security Certificate.
ISPS Code. Each Obligor shall, and shall procure that the Manager shall, or, in the case of a Collateral Vessel subject to a Charter which is a demise or bareboat charter to a person who is not a member of the Guarantor Group, shall procure that the Charterer of such Collateral Vessel at all times shall:
(a) comply and be responsible for compliance by itself and by each Collateral Vessel with the ISPS Code; and
(b) ensure that:
(i) each Collateral Vessel has a valid International Ship Security Certificate;
(ii) each Collateral Vessel’s security system and its associated security equipment comply with section 19.1 of Part Appendix 1 of the ISPS Code;
(iii) each Collateral Vessel’s security system and its associated security equipment comply in all respects with the applicable requirements of Chapter XI-2 of SOLAS and Appendix 1 of the ISPS Code; and
(iv) an approved ship security plan is in place.
