Common use of Issuance of the Common Securities; Subscription and Purchase of Debentures Clause in Contracts

Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 49,484 Common Securities having an aggregate Liquidation Amount of $1,237,100 against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount equal to $41,237,100, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $41,237,100 (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 and (ii) the first sentence of this Section 2.5).

Issuance of the Common Securities; Subscription and Purchase of Debentures. (a) Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 502 and deliver to the Depositor Depositor, Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 49,484 Common Securities having an aggregate Liquidation Amount of $1,237,100 1,360,825 against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $41,237,10045,360,825, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $41,237,100 (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 and (ii) the first sentence of this Section 2.5)45,360,825.

Issuance of the Common Securities; Subscription and Purchase of Debentures. (a) Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Issuer Trust, shall manually execute in accordance with Section Sections 5.2 and deliver to the Depositor 5.3 Common Securities Certificates, registered in the name of the Depositor, in evidencing an aggregate amount of 49,484 61,856 Common Securities having an aggregate Liquidation Amount of $1,237,100 against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee1,546,400. Contemporaneously therewith, an Administrative Trustee, on behalf of the Issuer Trust, shall subscribe to for and purchase from the Depositor Depositor, and cause to be delivered to the Property Trustee, Debentures, registered in the name of the Property Trustee on behalf of the Issuer Trust and having an aggregate principal amount equal to $41,237,10051,546,400, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Issuer Trust, shall shall, pursuant to written instructions from an Administrative Trustee, deliver to the Depositor the sum of $41,237,100 (being 50,000,000 and the sum of Common Securities referred to in the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 and (ii) the first sentence of this Section 2.5)previous sentence.

Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 49,484 61,856 Common Securities having an aggregate Liquidation Amount of $1,237,100 1,546,400, against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an An Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Cede & Co., as nominee of The Depository Trust Company, and having an aggregate principal amount equal to $41,237,100, 51,546,400 and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $41,237,100 (51,546,400, such amount being the sum of the amounts delivered to the Property Trustee pursuant to (ia) the second sentence of Section 2.4 and (iib) the first sentence of this Section 2.5).

Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust AgreementDeclaration of Trust, an Administrative Trustee, on behalf of the Issuer Trust, shall execute in accordance with Section 5.2 Sections 5.2, 5.3 and 8.9(a) and the Property Trustee shall deliver to the Depositor Sponsor, Common Securities Certificates, registered in the name of the DepositorSponsor, in evidencing an aggregate amount of 49,484 400 Common Securities having an aggregate Liquidation Amount of $1,237,100 25.00, against payment by receipt of the Depositor aggregate purchase price of such amountCommon Securities of $10,000, which amount such Administrative Trustee shall promptly deliver to by the Property Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Issuer Trust, shall subscribe to for and purchase from the Depositor Sponsor the Debentures, registered in the name of the Property Trustee on behalf of the Issuer Trust and having an aggregate principal amount equal to $41,237,10075,010,000, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Issuer Trust, shall deliver to the Depositor Sponsor the sum of $41,237,100 75,010,000 (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 2.4, and (ii) the first sentence of this Section 2.5).

Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Issuer Trust, shall execute in accordance with Section 5.2 5.3 and the Property Trustee shall, pursuant to Section 5.3, authenticate and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in evidencing an aggregate amount of 49,484 3,712 Common Securities having an aggregate Liquidation Amount of $1,237,100 3,712,000, against payment by receipt of the Depositor aggregate purchase price of such amountCommon Securities of $3,712,000, which amount such Administrative Trustee shall promptly deliver to by the Property Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Issuer Trust, shall subscribe to for and purchase from the Depositor the Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $41,237,100123,712,000, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Issuer Trust, shall deliver to the Depositor the sum of $41,237,100 123,712,000 (being the sum of the amounts delivered to the Property Trustee pursuant to (ia) the second sentence of Section 2.4 2.4, and (iib) the first sentence of this Section 2.5).

Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 49,484 44,914 Common Securities having an aggregate Liquidation Amount of $1,237,100 1,122,850 against payment by the Depositor of such amountan aggregate purchase price therefor of $1,122,850, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount equal to $41,237,10037,425,800, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum 1,452,118 shares of Series A Preferred Stock and $41,237,100 1,122,850 (being the sum of the amounts items delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 and (ii) the first sentence of this Section 2.5).

Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Issuer Trust, shall execute in accordance with Section 5.2 5.3 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 49,484 [4,640] Common Securities having an aggregate Liquidation Amount of $1,237,100 [4,640,000] against payment by the Depositor of such amountthe purchase price therefor in immediately available funds, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Issuer Trust, shall subscribe to and purchase from the Depositor Debentures, Debentures registered in the name of the Issuer Trust and having an aggregate principal amount equal to $41,237,100, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, [154,640,000] and shall deliver to the Depositor the sum of $41,237,100 purchase price therefor (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 and (ii) the first sentence of this Section 2.5).

Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 49,484 30,928 Common Securities having an aggregate Liquidation Amount of $1,237,100 773,200, against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an An Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Cede & Co., as nominee of The Depository Trust Company, and having an aggregate principal amount equal to $41,237,100, 25,773,200 and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $41,237,100 (25,773,200, such amount being the sum of the amounts delivered to the Property Trustee pursuant to (ia) the second sentence of Section 2.4 and (iib) the first sentence of this Section 2.5).

Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 49,484 49,485 Common Securities having an aggregate Liquidation Amount of $1,237,100 1,237,125, against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an An Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Cede & Co., as nominee of The Depository Trust Company, and having an aggregate principal amount equal to $41,237,100, 41,237,125 and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $41,237,100 (41,237,125, such amount being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 and (ii) the first sentence of this Section 2.5).

Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Issuer Trust, shall execute in accordance with Section Sections 5.2 and 5.3 and shall deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 49,484 evidencing 400 Common Securities having an aggregate Liquidation Amount of $1,237,100 10,000 against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Issuer Trust, shall subscribe to for and purchase from the Depositor the Debentures, registered in the name of the Property Trustee on behalf of the Issuer Trust and having an aggregate principal amount equal to $41,237,100150,010,000, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Issuer Trust, shall deliver to the Depositor the sum of $41,237,100 150,010,000 (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 and (ii) the first sentence of this Section 2.5).

Issuance of the Common Securities; Subscription and Purchase of Debentures. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 49,484 46,392 Common Securities having an aggregate Liquidation Amount of $1,237,100 463,920 against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount equal to $41,237,10015,463,920, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $41,237,100 15,463,920 (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 and (ii) the first sentence of this Section 2.5).

(a) Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Depositor, Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 49,484 Common Securities having an aggregate Liquidation Amount of $1,237,100 773,196 against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $41,237,100, 25,773,196 and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $41,237,100 (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 and (ii) the first sentence of this Section 2.5)25,773,196.

Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount equal to $41,237,10051,547,000, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $41,237,100 51,547,000 (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 2.4 and (ii) the first sentence of this Section 2.5).
