Issuance of the Debenture. The Debentures are duly authorized and, upon the execution of this Agreement by the Purchasers, will be duly and validly issued, fully paid and nonassessable, free and clear of all Liens imposed by the Company other than restrictions on transfer provided for in the Debenture. The Underlying Shares, when issued in accordance with the terms of the Debentures, will be validly issued, fully paid and nonassessable, free and clear of all Liens imposed by the Company. Subject to the receipt of the Authorized Share Approval, the Company will have reserved from its duly authorized capital stock a number of shares of Common Stock for issuance of the Underlying Shares.

Issuance of the Debenture. THE WARRANT AND THE SHARES.
Issuance of the Debenture. (a) The Debenture to be issued hereunder is duly authorized and, upon payment and issuance in accordance with the terms hereof, shall be free from all taxes, Liens and charges with respect to the issuance thereof. As of the Closing, the Company has authorized or reserved the number of shares of Series A Convertible Preferred Stock, par value $0.001 per share (the “Series A Preferred Stock”) necessary to effect the full conversion of the Debenture (the “Conversion Shares” and together with the Debenture, the “Securities”). All actions by the Board, the Company and its stockholders necessary for the valid issuance of the Debenture and the Conversion Shares pursuant to the terms of the Debenture has been taken.
Issuance of the Debenture. The Debenture is duly authorized and, upon the execution of this Agreement by a Purchaser, will be duly and validly issued, fully paid and nonassessable, free and clear of all Liens imposed by the Company other than restrictions on transfer provided for in the Transaction Documents. The Underlying Shares, when issued in accordance with the terms of the Debenture, will be validly issued, fully paid and nonassessable, free and clear of all Liens imposed by the Company. The Company has reserved from its duly authorized capital stock a number of shares of Common Stock for issuance of the Underlying Shares.
Issuance of the Debenture. At the Closing, the Company shall cause the Debenture to be delivered to the Investor at the delivery address set forth on the signature page hereto.
