Issue and Subscription of the Bonds. Subject to and in accordance with the provisions of this Agreement (including, without limitation, Clause 3 below), the Issuer agrees to issue to the Subscriber, and the Subscriber agrees to subscribe for, the Bonds at Completion.
Issue and Subscription of the Bonds. Subject as provided herein, the Company agrees to issue the Bonds and SKT hereby agrees to subscribe and pay for the principal amount of the Bonds, on the terms set out in Schedule 1, at an issue price of 100 per cent. of the principal amount of the Bonds (the “Issue Price”) on 5 July 2006 or on such other date as the Company and SKT may agree (the “Closing Date”), which may not be later than 12 July 2006.
