Issue of Common Shares or Resulting Issuer Shares. If the Release Event occurs prior to the Termination Time, the Common Shares or Resulting Issuer Shares, as applicable, for which the Subscription Receipts are exchangeable based on the Exchange Number in effect at the Release Date shall be automatically issued to the Subscription Receiptholders, and each Subscription Receiptholder shall automatically become the holder of record of the applicable number of Common Shares or Resulting Issuer Shares into which the Subscription Receipts held by such holder are so exchangeable as of the Release Date.

  • Preferred Stock Shares of Preferred Stock may be issued from time to time in one or more series, each of such series to have such terms as stated or expressed herein and in the resolution or resolutions providing for the creation and issuance of such series adopted by the Board of Directors as hereinafter provided.
