Issuer May Merge on Certain Terms. The Issuer shall not consolidate or merge with or into any other Person or Persons (whether or not affiliated with the Issuer), nor shall the Issuer or its successor or successors be a party or parties to successive consolidations or mergers unless: upon any such consolidation or merger, such successor Person assumes (either expressly as a matter of law or assume) the obligation to pay the principal of and interest on all of the Notes when due and payable hereunder and the obligation to observe all of the covenants and conditions that under this Indenture are to be performed by the Issuer.
