Common use of ITAR Clause in Contracts

ITAR. As of the date of this Agreement and as of the Closing Date (i) Buyer is and will continue to be a “U.S. person” as defined in ITAR, and (ii) Buyer is not and will continue not to be a “foreign national” as that term is used in the EAR, and transfers to Buyer of Seller’s technical data and technology will therefore not effect an “export” of such technical data and technology under either the ITAR or the EAR.

ITAR.
