JOINT AND SEVERAL REPRESENTATIONS AND WARRANTIES OF BCSI AND
SHAREHOLDERS. BCSI and Shareholders, jointly and severally, make the following representations and warranties to ABR, each of which is true and correct on the date hereof, shall be unaffected by any investigation heretofore or hereafter made by ABR, or any knowledge of ABR other than as specifically disclosed in the Disclosure Schedule delivered to ABR at the time of the execution of this Agreement, and shall survive the Closing of the transactions provided for herein. Notwithstanding the foregoing, the representations and warranties set forth in Sections 3.2 and 3.3 with respect to each Shareholder are made severally by each Shareholder, with respect to such Shareholder only.
