Common use of Joint Announcement Clause in Contracts

Joint Announcement. A party may not: (a) make any public announcement or statement; (b) give an interview; or (c) issue any public document (including any memorandum or release to the media, a stock exchange or to potential investors), relating to this agreement (including the fact that the parties have executed this agreement) the transactions contemplated in it or the Assets unless it is given jointly on behalf of both parties, the other party has consented to the terms of the joint disclosure, including to the form and content of that disclosure, the person to whom it will be made and when, or unless the disclosure would be permitted under an exemption in clauses 19.1(a)(1) or 19.1(a)(2). For the purposes of this clause "public" includes any person other than an existing direct or indirect shareholder or unit holder of a party.
