Joint Deliveries. At the Closing, Seller and Purchaser will execute and deliver to each other the following documents in proper form:
Joint Deliveries. Seller and the Company shall jointly execute and deliver the Preliminary Proration Date Balance Sheet.
Joint Deliveries. Seller and Purchaser shall jointly execute and ---------------- deliver a Closing Statement with respect to the Transactions.
Joint Deliveries. At Closing, Seller and Purchaser shall jointly deliver to each other the following:
Joint Deliveries. At the Closing, the parties shall execute and deliver, or cause to be executed and delivered, to each other, all legally required transfer tax declarations concerning the Purchased Assets.
Joint Deliveries. At the Closing, Purchaser and the Sellers' Designee shall execute and deliver to the Escrow Agent joint written instructions directing the Escrow Agent to deliver to the Sellers at the Closing the Deposit, together with any interest and earnings thereon.
Joint Deliveries. The parties shall each deliver at the Closing, the following:
(a) An executed PAK Technology, WUD Technology and HD WAK Technology assignment of license in the form of Exhibit G attached hereto (the “WAK/PAK Technology Assignment of License”).
(b) An executed assignment of any and all rights of NQCI to the Supersorbent Technology in the form of Exhibit H hereto.
Joint Deliveries. Buyer and the Stockholders’ Representative (on behalf of the Stockholders) shall jointly cause to be delivered to the Escrow Agent the Escrow Agreement, executed by the Escrow Agent.
Joint Deliveries. At Closing, Seller and Purchaser shall jointly deliver to each other: (a) a closing and proration statement, and (b) a Submitted MyDec (PTAX-203) Illinois Real Estate Transfer Declaration with respect to the conveyance of the Property.
Joint Deliveries. Seller and Purchaser shall jointly deposit in the escrow or deliver to each other at closing the following in a mutually acceptable form:
(a) An agreed proration and closing statement.
(b) Such certificates, instruments and declarations complying with the provisions of state, county and local law applicable to the determination of transfer taxes.
