Common use of Judgments and Attachments Clause in Contracts

Judgments and Attachments. Any money judgment, writ or warrant of attachment or similar process involving (i) in any individual case an amount in excess of $10,000,000 or (ii) in the aggregate at any time an amount in excess of $10,000,000 (in either case to the extent not adequately covered by insurance as to which a solvent and unaffiliated insurance company has acknowledged coverage) shall be entered or filed against the Borrower or any of its Material Subsidiaries or any of their respective assets and shall remain undischarged, unvacated, unbonded or unstayed for a period of sixty (60) days; or

Judgments and Attachments. Any money judgment, writ or warrant of attachment or similar process involving (i) in any individual case an amount in excess of $10,000,000 20,000,000 or (ii) in the aggregate at any time an amount in excess of $10,000,000 20,000,000 (in either case to the extent not adequately covered by insurance as to which a solvent and unaffiliated insurance company has acknowledged coverage) shall be entered or filed against the Parent, Borrower or any of its Material Subsidiaries Subsidiary or any of their respective assets and shall remain undischarged, unvacated, unbonded or unstayed for a period of sixty (60) days; or

Any final non-appealable money judgment, writ or warrant of attachment or similar process involving (i) in any individual case an amount in excess of $10,000,000 3,500,000 or (ii) in the aggregate at any time an amount in excess of $10,000,000 (3,500,000, in either case to the extent not adequately covered by insurance as to which a solvent and unaffiliated insurance company has acknowledged not denied coverage) , shall be entered or filed against the Borrower Holdings, Company or any of its their Material Subsidiaries or any of their respective assets and shall remain unpaid, undischarged, unvacated, unbonded or unstayed for a period of sixty (60) 60 days; or

Any money judgment, writ or warrant of attachment or similar process involving (i) in any individual case an amount in excess of $10,000,000 40,000,000 or (ii) in the aggregate at any time an amount in excess of $10,000,000 40,000,000 (in either case to the extent not adequately covered by insurance as to which a solvent and unaffiliated insurance company has acknowledged coverage) shall be entered or filed against the Borrower Borrower, Holdings or any of its Material Subsidiaries or any of their respective assets and shall remain undischarged, unvacated, unbonded or unstayed for a period of sixty (60) days; or

Any money judgment, writ or warrant of attachment or similar process involving (i) in any individual case an amount in excess of $10,000,000 or (ii) in the aggregate at any time an amount in excess of $10,000,000 1,000,000 (in either case to the extent not adequately covered by insurance as to which a solvent and unaffiliated insurance company has acknowledged coverage) or any non-monetary judgment which would reasonably be expected to result in a Material Adverse Effect shall be entered or filed against the Borrower Holdings or any of its Material Subsidiaries or any of their respective assets and shall remain undischarged, unvacated, unbonded or unstayed for a period of sixty (60) daysdays (or in any event later than five (5) days prior to the date of any proposed sale thereunder); or

Any money judgment, writ or warrant of attachment or similar process involving (ix) in any individual case an amount in excess of $10,000,000 8,000,000 or (iiy) in the aggregate at any time an amount in excess of $10,000,000 16,000,000 (in either each case to the extent not adequately covered by insurance as to which a solvent and unaffiliated insurance company has acknowledged coverage) shall be entered or filed against the Borrower Company or any of its Material Subsidiaries or any of their respective assets and and, in the case of clause (x), shall remain undischarged, unvacated, unbonded or unstayed for a period of sixty days (60) daysor in any event later than five days prior to the date of any proposed sale thereunder); or

Any money judgment, writ or warrant of attachment or similar process involving (i) in any individual case an amount in excess of $10,000,000 or (ii) 1,000,000 in the aggregate at case of Borrower and $2,500,000 in the case of any time an amount of its Subsidiaries (in each case, in excess of $10,000,000 (in either case to the extent not adequately covered by insurance coverage as to which a solvent and unaffiliated insurance company has acknowledged coveragenot denied coverage in writing) shall be entered or filed against the Borrower or any of its Material Subsidiaries or any of their respective assets and shall remain undischarged, unsatisfied, unvacated, unbonded or unstayed for a period of sixty (60) daysdays (or in any event later than five (5) days prior to the date of any proposed sale thereunder); or

Any money judgment, writ or warrant of attachment or similar process involving (i) in any individual case an amount in excess of $10,000,000 250,000 or (ii) in the aggregate at any time an amount in excess of $10,000,000 500,000 (in either case to the extent not adequately covered by insurance as to which a solvent and unaffiliated insurance company has acknowledged coverage) shall be entered or filed against the Borrower Holdings or any of its Material Subsidiaries or any of their respective assets and shall remain undischarged, unvacated, unbonded or unstayed for a period of sixty (60) 60 days; or;

Any money judgment, writ or warrant of attachment or similar process involving (i) in any individual case an amount in excess of $10,000,000 7,500,000 or (ii) in the aggregate at any time an amount in excess of $10,000,000 (7,500,000, in either case to the extent not adequately covered by insurance as to which a solvent and unaffiliated insurance company has acknowledged been notified of such judgment and has not denied coverage) , shall be entered or filed against the Borrower Company or any of its Material Subsidiaries or any of their respective assets and shall remain undischarged, unvacated, unbonded or unstayed for a period of sixty (60) 60 days; or
