Judgments, Lawsuits, Actions or Proceedings. Seller represents and warrants to Purchaser that there are, to the best of Seller’s knowledge, no judgments, lawsuits, actions or proceedings, pending or threatened, whether involving a governmental authority or private party, against Seller (or any member entities), that, if decided adversely against Seller (or any member entity), would prevent it from fulfilling its obligations hereunder or under this Agreement.
