Common use of Jurisdiction; Legal Fees Clause in Contracts

Jurisdiction; Legal Fees. a) In any action or proceeding brought by the Bank or the Member to enforce any right or remedy under this Agreement, the parties hereby consent to, and agree that they will submit to, the jurisdiction of the United States District Court for the Northern District of California or, if such action or proceeding may not be brought in federal court, the jurisdiction of the Superior Court of the City and County of San Francisco, to the exclusion of all other courts.
