Jurisdiction of the English courts. ‌ In the event that a notice pursuant to Clause 10.3 is issued, the following provisions shall apply: (a) subject to paragraph (c) below, the courts of England shall have exclusive jurisdiction to settle any Dispute and each party submits to the exclusive jurisdiction of such courts;‌ (b) the Issuer waives any objection to the courts of England on the grounds that they are an inconvenient or inappropriate forum to settle any Dispute; and (c) this Clause 10.4 is for the benefit of the Calculation Agent only.
