Jurisdiction of the English courts. In the event that a notice pursuant to Clause 10.3 is issued, the following provisions shall apply:
(a) subject to paragraph (c) below, the courts of England shall have exclusive jurisdiction to settle any Dispute and each party submits to the exclusive jurisdiction of such courts;
(b) the Issuer waives any objection to the courts of England on the grounds that they are an inconvenient or inappropriate forum to settle any Dispute; and
(c) this Clause 10.4 is for the benefit of the Calculation Agent only. As a result, and notwithstanding paragraph (a) above, the Calculation Agent may take proceedings relating to a Dispute ("Proceedings") in any other courts with jurisdiction. To the extent allowed by law, the Calculation Agent may start concurrent Proceedings in any number of jurisdictions.
Jurisdiction of the English courts. The parties irrevocably agree, for the benefit of the Lender, and subject to Clause 33.2, that the English courts shall have exclusive jurisdiction to settle any dispute, including any dispute relating to a non-contractual obligation, arising out of or in connection with this Agreement.
Jurisdiction of the English courts. The Guarantor, each Head Lessee and each Borrower irrevocably agrees, for the benefit of the Arranger, that the English courts shall have exclusive jurisdiction to settle any dispute arising out of or in connection with this Agreement.
Jurisdiction of the English courts. (a) The Parties agree that the courts of England shall have jurisdiction to hear and determine any suit, action or proceeding, and to settle any dispute, which may arise out of or in connection with this Amendment (including Clause 6.5 (Governing Law) and this Clause 6.6), or the transactions contemplated hereby, and, for such purposes, irrevocably submits to the exclusive jurisdiction of such courts.
(b) Each Party for itself irrevocably waives any objection which it might now or hereafter have to the courts referred to in Clause 6.6(a) being nominated as the forum to hear and determine any suit, action or proceeding, and to settle any dispute, which may arise out of or in connection with this Amendment, or the transactions contemplated hereby and agrees not to claim that any such court is not a convenient or appropriate forum.
Jurisdiction of the English courts. In the event that an Agent issues a notice pursuant to Clause 17.3 (Agent's option to litigate), the following provisions shall apply:
17.4.1 subject to sub-clause 17.4.3 below, the courts of England shall have exclusive jurisdiction to settle any Dispute;
17.4.2 the Issuer agrees that the courts of England are the most appropriate and convenient courts to settle any Dispute and, accordingly, that it will not argue to the contrary; and
Jurisdiction of the English courts. The parties including any Guarantor submit to the exclusive jurisdiction of the English courts on all matters relating to this Lease
Jurisdiction of the English courts. The parties hereto agree that the courts of England shall have jurisdiction to hear and determine any suit, action or proceeding, and to settle any dispute, which may arise out of or in connection with this Deed (including Clause 21 (Governing Law) and this Clause 22) or the transactions contemplated hereby and, for such purposes, irrevocably submits to the exclusive jurisdiction of such courts.
Jurisdiction of the English courts. VELFAC shall not be liable for any losses incurred by the Beneficiary other than those costs referred to in clause 1.2.
Jurisdiction of the English courts. In the event that the Trustee or any Agent validly issues a notice pursuant to Clause 25.3 (Trustee and Agent's option to refer Dispute to court) the following provisions shall apply:
(i) the courts of England shall have jurisdiction to settle any such Dispute;
(ii) the Issuer irrevocably waives any objection which it might now or hereafter have to the courts of England being nominated as the forum to hear and determine any such Dispute, and agrees not to claim that the courts of England are not a convenient or appropriate forum; and
(iii) the submission to the jurisdiction of the courts of England shall not (and shall not be construed so as to) limit the right of the Trustee or the Agents, in accordance with this Clause 25, to take proceedings in any other court of competent jurisdiction, nor shall the taking of any proceedings in any one or more jurisdictions preclude the taking of proceedings in any other jurisdiction (whether concurrently or not) if and to the extent permitted by applicable law.
Jurisdiction of the English courts. (a) The courts of England have exclusive jurisdiction to settle any dispute arising out of or in connection with this Amendment (including Clause 4.3 (Governing Law) and this Clause 4.4 and a dispute regarding the existence, validity or termination of this Amendment) (a “Dispute”).
(b) The parties agree that the courts of England are the most appropriate and convenient courts to settle Disputes and accordingly no party will argue to the contrary.
