Common use of Key Employee Clause in Contracts

Key Employee. any employee or contractor who is or was (in the Period) employed or engaged to your knowledge: (a) at management grade; or (b) in a senior capacity; or (c) in a capacity in which he has access to or obtained Confidential Information and in respect of whom you exercised control or had managerial responsibility.
