Common use of Knowledge Defined Clause in Contracts

Knowledge Defined. For purposes of this Agreement, the term “the Company's knowledge” or similar references to knowledge as used herein shall mean in the case of the Members and the Company, the actual knowledge of Rxxxxxx Xxxxxx, Sxx Xxxxxxxx and Jxxx Xxxxxxx after reasonably inquiry.

Knowledge Defined. For purposes of this Agreement, the term “the Company's ’s knowledge” or similar references to and “knowledge of the Company” as used herein shall mean in the case of the Members and the Company, the actual knowledge after reasonable inquiry of Rxxxxxx Xxxx Xxxxxxxxxx, Xxxx Xxxxxxxx, Xxxx Xxxxxxx and Xxxx Xxxxxx, Sxx Xxxxxxxx and Jxxx Xxxxxxx “the Purchaser’s knowledge” and “knowledge of the Purchaser” as used herein shall mean the actual knowledge after reasonably inquiryreasonable inquiry of Xxx Xxxxxxx, Xxxxxx Xxxxx and Xxxx Xxxxxxxx.

For purposes of this Agreement, the term “the Company's ’s or Seller’s knowledge” or similar references to knowledge as used herein shall mean in the case of the Members and the Company, the actual knowledge of Rxxxxxx XxxxxxSxxxxx Xxxxxxxxxx, Sxx Jxxxxx Xxxxx, Jxxx Xxxxxxxxxxxx, Kxx Xxxxx and Mxxxxxx Xxxxxx (collectively, the “Executives”), without giving effect to any imputed knowledge and the term “Buyer’s knowledge” shall mean the actual knowledge of Mxxxxxx Xxxxxxxx and Jxxx Xxxxxxx after reasonably inquiryJxxxx Xxxxx, without giving effect to any imputed knowledge.

Xxxxxxxxx, Xxxx X. Xxxxx, Xxxx X. Xxxxxxx, Xxxxx X. Xxxxxxxx, Xxxxx Xxxx, Xxxxxxx Xxxx, Xxx Xxxxxxxx, Xxxxxx X. Xxxxxxxx, Xxxxxxx Xxxxxx and Xxxx Xxxxxx, Sxx Xxxxxxxx and Jxxx Xxxxxxx after reasonably inquiry.

For purposes of this Agreement, the term phrase “the Company's ’s knowledge” or similar references to knowledge as used herein shall mean in the case of the Members and the Company, means the actual knowledge without independent investigation (and will in no event encompass constructive, imputed or similar concepts of Rxxxxxx Xxxxxxknowledge) of the following individuals: Xxxx Xxxx, Sxx Xxxxxxxx Xxx Xxxxxxxxxx, Xxxx Xxxxx and Jxxx Xxxxxxx after reasonably inquiryXxxxx Xxxxxxx.

Xxxxxx, Sxx Xxxxxxxx and Jxxx Xxxxxxx after reasonably inquiry.
