Common use of Knowledge Defined Clause in Contracts

Knowledge Defined. For purposes of this Section 4, "to the knowledge of Seller" (or similar phrases) shall mean (i) the actual knowledge of the Members and (ii) the knowledge any of such persons would have had after making reasonable inquiry of the Seller's personnel and reasonable investigation and review of Seller's books and records and other relevant documentation.

Knowledge Defined. For purposes of this Section 4, "to the knowledge of Seller" (or similar phrases) shall mean (i) the actual knowledge of the Members Shareholder and (ii) the knowledge any of such persons Shareholder would have had after making reasonable inquiry of the Seller's personnel and reasonable investigation and review of Seller's books and records and other relevant documentation.

For purposes of this Section 4, "to the knowledge of Seller" (or similar phrases) shall mean (i) the actual knowledge of the Members each Shareholder and any director, officer, general manager or sales manager of Seller, and (ii) the knowledge any of such persons would have had after making reasonable inquiry of the Seller's personnel and reasonable investigation and review of Seller's books and records and other relevant documentation.

Knowledge Defined. For purposes of this Section 4, "to the knowledge of Seller" (or similar phrases) shall mean (i) the actual knowledge of the Members Stockholder, and any officer or director of Seller and (ii) the knowledge any of such persons would have had after making reasonable inquiry of the Seller's personnel and reasonable investigation and review of Seller's books and records and other relevant documentation.
