Common use of Knowledge Defined Clause in Contracts

Knowledge Defined. For purposes of this Section 4, "to the knowledge of Seller" (or similar phrases) shall mean (i) the actual knowledge of the Shareholder and (ii) the knowledge Shareholder would have had after making reasonable inquiry of the Seller's personnel and reasonable investigation and review of Seller's books and records and other relevant documentation.

Knowledge Defined. For purposes of this Section 4, "to the knowledge of Seller" (or similar phrases) shall mean (i) the actual knowledge of the Shareholder Stockholder, and any officer or director of Seller and (ii) the knowledge Shareholder any of such persons would have had after making reasonable inquiry of the Seller's personnel and reasonable investigation and review of Seller's books and records and other relevant documentation.
