Knowledge of Misrepresentations. Buyer does not have any knowledge that any of the representations and warranties of Seller in this Agreement are not true and correct in all material respects as of the date of this Agreement, and Buyer does not have any knowledge of any material errors in, or material omissions from, the Disclosure Letter as of the date of this Agreement. Regardless of any investigation made by or on behalf of the Buyer, and regardless of the results of any such investigation, the Buyer has entered into this transaction in express reliance upon the representation and warranties of the Seller made in this Agreement.
