Common use of Knowledge of the Company Clause in Contracts

Knowledge of the Company. The term “Knowledge of the Company” or like words shall mean the knowledge of the Company’s and its subsidiaries’ respective boards of directors, executive officers and seniors managers, and such knowledge as any of the foregoing individuals should have obtained upon reasonable investigation and inquiry into the matter in question.

Knowledge of the Company. Perry, the director of directorsmarketing, executive officers and seniors managersthe director of engineerixx xxx xxx xxxxxtor of operations, and such knowledge as any of the foregoing individuals Sellers or any of the other directors or officers of the Company reasonably should have obtained upon reasonable diligent investigation and inquiry into the matter in question.

The term “Knowledge of the Company” or like words shall mean the actual knowledge of the Company’s and its subsidiaries’ respective boards of directors, executive officers and seniors managers, and such knowledge as any of the foregoing individuals should have obtained upon reasonable investigation and inquiry into Management Owners, after reasonably inquiry, with respect to the matter in question. Any such Management Owner will be deemed to have knowledge of a particular matter if a reasonable person who has the duties and responsibilities of such Management Owner in the customary performance of such duties and responsibilities reasonably should have known such matter.

The term “Knowledge of the Company” or like words shall mean the actual knowledge of Hxxxx or Megless or any of the other directors, officers or managerial personnel of the Company’s and its subsidiaries’ respective boards of directors, executive officers and seniors managerswith respect to the matter in question, and such knowledge as Hxxxx or Megless or any of the foregoing individuals other directors, officers or managerial personnel of the Company, reasonably should have obtained upon reasonable diligent investigation and inquiry into the matter in question.

The term “Knowledge of the Company” or like words shall mean the actual knowledge of the Company’s and its subsidiaries’ respective boards of directors, executive officers and seniors managersofficers, managerial personnel, or key employees of the Company with respect to the matter in question, and such knowledge as any the other directors, officers, managerial personnel, or key employees of the foregoing individuals Company reasonably should have obtained upon reasonable diligent investigation and inquiry into the matter in question.

The term “"Knowledge of the Company” or like words " shall mean the actual knowledge of either of the Company’s and its subsidiaries’ respective boards Shareholders or any of the other directors, executive officers and seniors managersor managerial personnel of the Company with respect to the matter in question, and such knowledge as either of the Shareholders or any of the foregoing individuals other directors, officers or managerial personnel of the Company reasonably should have obtained (i) in the performance of their duties to the Company and/or (ii) upon reasonable diligent investigation and inquiry into the matter in question.

The term “"Knowledge of the Company” or like words " shall mean the actual knowledge of Jxxx Xxxxx, Txxx Xxxxxxxx or any of the Company’s and its subsidiaries’ respective boards of other directors, executive officers and seniors managersor managerial personnel of the Company with respect to the matter in question, and such knowledge as Jxxx Xxxxx, Txxx Xxxxxxxx or any of the foregoing individuals other directors, officers or managerial personnel of the Company reasonably should have obtained upon reasonable diligent investigation and inquiry into the matter in question.

The term “Knowledge of the Company” or like words " shall mean the actual knowledge and current awareness, or knowledge which a reasonable person would have acquired following a reasonable investigation, of the executive officers and directors of the Company’s and its subsidiaries’ respective boards of directors, executive officers and seniors managers, and such knowledge as any together with that of the foregoing individuals should have obtained upon reasonable investigation and inquiry into the matter in questionchief executive officer of each Acquired Company.
