Common use of Knowledge Standard Clause in Contracts

Knowledge Standard. When used in this Agreement, the phrase "to the best knowledge of, " "knowledge of, " "known to" or similar phrases shall mean the actual knowledge of: (i) with respect to Stateside, the officers and directors of Stateside; (ii) with respect to the Company, the officers and directors of the Company; and (iii) each Stockholder.

Knowledge Standard.
