Lack of Material Liabilities. Neither the Company, nor any of its subsidiaries or affiliates, shall have incurred any material liability, direct or contingent (as that term is ordinarily used), other than in the ordinary course of its business, since July 31, 1998; including, but not limited to, any tax liability resulting from the transaction contemplated hereby, or by the Company's compliance with any of the terms and conditions hereof.
