Lawfully Operating. Except as set forth on Schedule 3.11 of the Disclosure Schedules, WMC has complied in all material respects and is in compliance in all material respects with all Laws applicable to WMC, including those relating to occupational health and safety. This Section 3.11 does not relate to Environmental Laws. Except as set forth in Schedule 3.11 of the Disclosure Schedules, none of GTI, Glenayre or WMC has received any written communication during the past two years from a Governmental Authority that alleges that WMC is not in compliance in any material respect with any Laws. WMC validly holds and is in compliance in all material respects with all material permits, licenses, bonds, approvals, franchises, certificates (including certificates of occupancy), registrations, accreditations and other governmental authorizations necessary for the conduct of the Business (collectively, "Permits"). Schedule 3.11 of the Disclosure Schedules sets forth a true and complete list of all Permits. None of the Permits are subject to suspension, modification, revocation or nonrenewal as a result of the execution and delivery of this Agreement, the WMC Additional Agreements or the Glenayre Additional Agreements or the consummation of the Transactions. All of the Permits which are held in the name of any employee, officer, director, stockholder, agent or otherwise on behalf of WMC shall be deemed included under this warranty.

Lawfully Operating. Except (i) as set forth on Schedule 5.15 of the Disclosure Schedules or (ii) for any conflict, default or violation which would not have a Wireless Material Adverse Effect, would not prevent or delay consummation of the Merger in any material respect or otherwise prevent Wireless from performing its obligations under this Agreement in any material respect, Wireless is not in conflict with, or in default or violation of, (1) any Law applicable to Wireless or by which any of its property or assets is bound or affected or (2) the provisions of any note, bond, mortgage, indenture, contract, agreement, understanding, arrangement, commitment, lease, license, permit, franchise or other instrument or obligation to which Wireless is a party or by which Wireless or any of its property or assets is bound or affected, nor does any circumstance exist which with notice or the passage of time or both would result in such a conflict, default, or violation.

To the best knowledge of Data Transfer, Data Transfer has been and currently is conducting and each of the premises leased or owned have been and now are being used and operated, in compliance in all material respects with all statutes, regulations, bylaws, orders, covenants, restrictions or plans of federal, state, regional, county or municipal authorities, agencies or board applicable to the same.

To the knowledge of the Company, the Company has been and currently is conducting and each of the premises leased or owned have been and now are being used and operated, in compliance in all material respects with all applicable statutes, regulations, bylaws, orders, covenants or restrictions of a Governmental Body.

Except as set forth in the Disclosure Memorandum, Xxxxxx and each Xxxxxx Subsidiary have been and currently are conducting their business, and the Property has been and now is being used and operated, in compliance with all statutes, regulations, laws, orders, covenants, restrictions or plans of federal, state, regional, county or municipal authorities, agencies or board applicable to the same.

To the best knowledge of LADCO, each of LADCO and the LADCO Subsidiaries has been and currently is conducting and each of the premises leased or owned by it or them have been and now are being used and operated, in compliance in all material respects with all statutes, regulations, bylaws, orders, covenants, restrictions or plans of federal, state, regional, county or municipal authorities, agencies or board applicable to the same.

To the best knowledge of PMT, PMT has been and currently is conducting, and each of the wholly-owned subsidiaries of PMT and premises leased or owned by it or them have been and now are being used and operated, in compliance in all material respects with all statutes, regulations, bylaws, orders, covenants, restrictions or plans of federal, state, regional, county or municipal authorities, agencies or boards applicable to the same.
