Common use of Laws and Orders Clause in Contracts

Laws and Orders. No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits consummation of the Exchange or the other transactions contemplated by this Agreement (collectively, an "Order"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Order.

Laws and Orders. No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law or Order (whether temporary, preliminary or permanent) that is in effect and restrainsindividually, enjoins or otherwise prohibits consummation of in the Exchange or the other transactions contemplated by this Agreement (collectivelyaggregate, an "Order"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Order.either:

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits consummation of the Exchange Merger or the other transactions contemplated by this Agreement (collectively, an "Order"), and no Governmental Entity shall have instituted any proceeding or threatened and no senior official of any Governmental Entity in the United States shall then be threatening to institute any proceeding seeking any such Order.;

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits consummation of the Merger, the Exchange Offers, the Spinoff or the other transactions contemplated by this Agreement (collectively, an "Order"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Order.

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits consummation of the Exchange or the other transactions contemplated by this Agreement (collectively, an "Order"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Order.;

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits the consummation of the Exchange Merger or the other transactions contemplated by this Agreement or that would materially frustrate the express intent and purposes of this Agreement (collectively, an "OrderORDER"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Order. 4.1.4.

No Governmental Entity of competent jurisdiction (in a jurisdiction material to the business of the Company or Parent) shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) Order that is in effect and restrainsenjoins, enjoins makes illegal or otherwise prohibits the consummation of the Exchange or the other transactions contemplated by this Agreement (collectively, an "Order"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such OrderTransactions.

No Governmental Entity of competent jurisdiction (in a jurisdiction material to the business of the Company or Parent) shall have enacted, issued, promulgated, enforced or entered any Law or Order (whether temporary, preliminary or permanent) that which is then in effect and restrainshas the effect of restraining, enjoins enjoining or otherwise prohibits prohibiting or making illegal the consummation of the Exchange Merger or the other transactions contemplated by this Agreement (collectivelyTransactions, an "Order"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Orderimposes a Non-Required Remedy.

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits consummation of the Exchange or the other transactions contemplated by this Agreement and the License Agreement (collectively, an "Order"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Order.

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, 62 preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits consummation of the Merger, the Exchange Offers, the Spinoff or the other transactions contemplated by this Agreement (collectively, an "OrderORDER"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Order.

Laws and Orders. No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits consummation of the Exchange Merger, the Weblink Prearranged Plan, the Metrocall Prearranged Plan or the other transactions contemplated by this Agreement (collectively, an "OrderORDER"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Order.

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits the consummation of the Exchange Merger, or that would materially frustrate the other transactions contemplated by express intent and purposes of this Agreement (collectively, an "Order"), ) and no Governmental Government Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Order.

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits consummation of the Exchange or the other transactions contemplated by this Agreement and the License Agreement (collectively, an "OrderORDER"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Order.

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits consummation of the Exchange or the other transactions contemplated by this Agreement (collectively, an "Order"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such Order.or

No court or other Governmental Entity Authority of competent jurisdiction shall have enacted, announced, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) (collectively, an “Order”) that is in effect and that restrains, enjoins enjoins, renders illegal or otherwise prohibits consummation of the Exchange or the other transactions contemplated by this Agreement (collectively, an "Order"), and no Governmental Entity shall have instituted any proceeding or threatened to institute any proceeding seeking any such OrderMerger.
