Common use of LEASEHOLD IMPROVEMENT FEE Clause in Contracts

LEASEHOLD IMPROVEMENT FEE. The Lessee shall pay the Leasehold Improvement Fee to the Lessor simultaneously with the execution of this Agreement (which Leasehold Improvement Fee shall be included in the Project Budget and shall be advanced hereunder in connection with the initial advance of the Project Funds); provided, however, that, at the Lessor's option, the Leasehold Improvement Fee shall be held in an escrow account established with a Person designated by the Lessor pursuant to an escrow arrangement satisfactory to the Lessor, with interest thereon benefiting the Lessor. If the Lessor exercises its option to require that the Leasehold Improvement Fee be held in such an escrow account (a) the Leasehold Improvement Fee shall be disbursed from said escrow account only upon the joint instructions of the Lessee and the Lessor (which instructions from the Lessee shall be immediately given upon the request of the Lessor) and in no event shall the Leasehold Improvement Fee be disbursed therefrom, in whole or in part, unless and until so requested by the Lessor and (b) the Lessor shall bear the risk of loss of or misappropriation of the Leasehold Improvement Fee by such escrow agent.
