LEDGERS AND RECORDS. To secure the payment and performance of all Liabilities, BORROWER hereby creates in favor of AGENT for the ratable benefit of the LENDERS and hereby grants to AGENT for the ratable benefit of the LENDERS a first security interest in all of BORROWER's ledger sheets, files, records and documents relating to the Collateral which shall, until delivered to or removed by AGENT, be kept by BORROWER in trust for AGENT and without cost to AGENT in appropriate containers in safe places.

  • Maintaining Books and Records Accurate books, records and accounts shall be maintained by the Partnership for each Restaurant and for the Partnership showing their respective assets, liabilities, operations, transactions and financial condition, as well as the names and addresses of the Partners. The Partnership’s and each Restaurant’s books and records may be kept under such permissible method of accounting as the General Partner may determine.
