Common use of Legal Clearance Clause in Contracts

Legal Clearance. Sandoz shall have sole responsibility to make decisions with respect to Legal Clearance (except with respect to the determination of whether Legal Clearance has occurred, which shall be determined in accordance with the definitions herein of District Court Legal Clearance and Final Legal Clearance); PROVIDED THAT such decisions are generally consistent with the strategy set therefor by the JSC, and subject to the provisions of Section 13.2.

Legal Clearance. Sandoz shall have sole responsibility to make decisions with respect to Legal Clearance (except with respect to the determination of whether Legal Clearance has occurred, which shall be determined in accordance with the definitions herein of District Court Final ROW Legal Clearance and Final U.S. Legal Clearance, as applicable); PROVIDED THAT provided, that such decisions are generally consistent with the strategy set therefor by the JSCJOC. Sandoz shall select counsel to assist with Patent Litigation occurring in the context of Legal Clearance, and subject which counsel shall be reasonably acceptable to the provisions of Section 13.2Momenta.
