Legal Opinion of Counsel to the Credit Parties. The Administrative Agent shall have received, with an executed counterpart for each Lender, opinions addressed to the Agents and each Lender, dated the Closing Date, of (i) Thomxx X. X'Xxxxx, Xxquire, Senior Vice President and General Counsel of the Borrower, and (ii) White & Case LLP, special New York counsel to the Credit Parties, each in a form reasonably satisfactory to the Administrative Agent.
