Conditions to Initial Loans or Letter of Credit. Bank’s obligation to make the initial Loans and/or to issue the initial Letter of Credit is subject to and contingent upon the fulfillment of each of the conditions set forth in Annex 2 to the satisfaction of Bank and its counsel.

Conditions to Initial Loans or Letter of Credit. The obligation of each Lender to make Loans (or of the LC Issuer to Issue a Letter of Credit) on the Closing Date is subject to the satisfaction, immediately prior to or concurrently with the making of such Loan (or the Issuance of such Letter of Credit), of the following conditions precedent, in addition to the conditions precedent set forth in Section 4.02 hereof:
