Common use of Legal Prohibition Clause in Contracts

Legal Prohibition. No Law shall be in effect and no Order shall have been entered, in each case that restrains, enjoins or prohibits the performance of all or any part of this Agreement or the consummation of all or any part of the transactions contemplated by this Agreement, or declares unlawful the transactions contemplated by this Agreement or would cause any of the transactions contemplated by this Agreement to be rescinded.

Legal Prohibition. No Law shall be in effect and no Order shall have been entered, in each case that restrains, enjoins or prohibits the performance of all or any part of this Agreement or the consummation of all or any part of the transactions contemplated by this Agreement, Contemplated Transactions or declares unlawful the transactions contemplated by this Agreement Contemplated Transactions or would cause any of the transactions contemplated by this Agreement Contemplated Transactions to be rescinded.

No Law shall be in effect and no Order shall have been entered, in each case that which (a) restrains, enjoins or prohibits the performance of all or any part of this Agreement or any other Transaction Document or the consummation of all or any part of the transactions contemplated by this AgreementContemplated Transactions, (b) declares unlawful any of the Contemplated Transactions, or declares unlawful the transactions contemplated by this Agreement or (c) would cause any of the transactions contemplated by this Agreement such Contemplated Transactions to be rescinded.

No Law shall be in effect and no Order shall have been enteredenacted, issued, promulgated, enforced or entered by a Governmental Authority of competent jurisdiction that is then in force and effect, in each case that restrains, enjoins or prohibits the performance of all or any part of this Agreement or the consummation of all or any part of the transactions contemplated by this Agreement, Contemplated Transactions or declares unlawful the transactions contemplated by this Agreement or would cause any of the transactions contemplated by this Agreement to be rescindedContemplated Transactions.

No Law shall be in effect and no Order shall have been entered, in each case that (a) restrains, enjoins or prohibits the performance of all or any part of this Agreement or the consummation of all or any part of the transactions contemplated by this AgreementPurchase or the Proposed Consent, or (b) declares unlawful the transactions contemplated by this Agreement Purchase or would cause any of the transactions contemplated by this Agreement to be rescindedProposed Consent.

Legal Prohibition. No Law shall be in effect and no Order Judgment shall have been entered, in each case that restrains, enjoins or prohibits the performance of all or any part of this Agreement or the consummation of all or any part of the transactions contemplated by this Agreement, Agreement or declares unlawful the transactions contemplated by this Agreement or would cause any of the transactions contemplated by this Agreement to be rescinded, and no Action shall be pending or threatened that could result in any of the foregoing.
